CLIENT SERVICE AGREEMENT
This Client Service Agreement ("Agreement") is entered into between Adverthrive Marketing ("Service Provider") and the client ("Client"). By purchasing any service or submitting payment, the Client agrees to all terms outlined below.
1. Scope of Services
The Service Provider agrees to provide the services purchased by the Client, as outlined in the selected plan or proposal. Services begin once full payment for the first month has been received.
2. Payment Terms
2.1 Monthly Payments
All payments are due in full, monthly, and on time. The Client must ensure that payment is made by the required due date to avoid delays or termination of service.
2.2 Non‑Refundable Payments
All payments made are non‑refundable, regardless of project status, communication delays, or Client inactivity.
2.3 Failure to Pay
If the Client fails to pay any monthly fee by the due date, the Service Provider reserves the right to suspend work immediately and terminate the agreement if payment is not made within 5 business days.
3. Client Responsibilities
The Client agrees to:
- Provide all required information, materials, feedback, and approvals needed for the project.
- Communicate in a timely manner.
- Respond to messages, files, and questions from the Service Provider.
If the Client does not provide requested materials or feedback, the Service Provider is not responsible for delays.
4. Non‑Responsiveness Policy (30‑Day Rule)
If the Client becomes unresponsive for 30 consecutive days, meaning:
- No replies to messages
- No submission of required materials
- No progress or engagement
- No payment or confirmation of upcoming payment
Then:
- All services will be permanently terminated.
- The Service Provider is released from all obligations.
- No refunds will be issued.
- The Client forfeits all remaining work not yet completed.
- A new contract and full payment will be required to resume services.
5. No Liability & No Legal Claims
The Client agrees that the Service Provider cannot be held liable for:
- Loss of business
- Loss of revenue
- Project delays caused by Client inaction
- Changes made by third‑party platforms (hosting, domains, social media, etc.)
- Technical issues outside the Service Provider's control
The Client also agrees not to:
- File legal claims or disputes regarding delays caused by their own lack of communication
- File chargebacks or payment disputes, as the Agreement provides clear terms
Any attempt to dispute a payment violates this Agreement.
6. Termination of Agreement
This Agreement may be terminated by the Service Provider if:
- The Client violates payment terms
- The Client becomes non‑responsive for 30 days
- The Client behaves disrespectfully, abusively, or unprofessionally
Upon termination, all obligations of the Service Provider cease immediately.
7. Ownership of Work
Work created becomes the Client's after:
- Full monthly payments have been received
- The project or month's deliverables are completed
If the Client fails to pay, ownership remains with the Service Provider.
8. Amendments
The Service Provider may update terms as needed. Updated terms will apply to future work or billing cycles.
9. Agreement Acceptance
By making a payment, signing up for a plan, or receiving services, the Client acknowledges that they have read, understood, and agreed to the full terms of this Agreement.
